DIGITAL MARKETING SERVICES AGREEMENT OF GROW MORE WIN
Please find below the terms and conditions outlining the scope of our engagement, payment terms, and other key details. These terms are intended to ensure a clear understanding and a smooth working relationship between both parties.
1. Service Provider

2. SCOPE OF SERVICES
List of our Digital marketing services, Service provider will provide service to client according to their service package
- Meta Ads Service Only (Facebook Ads and Instagram Ads) Ads Budget Excluded
- Agency Ad accounts
- Zoom pro subscription
- Website designing
- Social media management
- Video editing
- Telegram Ads
- Google Ads
3. TERM & TERMINATION
- This Agreement shall commence on the date of payment & service start Process time and continue for a period of client service duration
- The Service Provider reserves the right to terminate services if the Client fails to make timely payments.
4. PAYMENT TERMS
- The Client has to pay the Service charges to the service provider for the services which he/she will used for their business
- Service charges are non-refundable
5. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide necessary access to social media accounts [if needed], websites, and advertising platforms.
- Supply brand guidelines, content, images, and other required materials.
- Respond to approvals and feedback in a timely manner.
6. CONFIDENTIALITY & NON-DISCLOSURE
- Both parties agree to maintain confidentiality of all proprietary and business-related information shared during the term of this Agreement.
- The Service Provider shall not disclose any Client information to third parties without written consent.
7. INTELLECTUAL PROPERTY
- Any content, graphics, or materials created by the Service Provider shall remain the property of the Client upon full payment.
- The Service Provider retains the right to showcase work as part of their portfolio unless otherwise agreed in writing.
8. PERFORMANCE & GUARANTEES
- The Service Provider agrees to use reasonable efforts to achieve agreed-upon marketing goals.
- No specific revenue or sales guarantee is made, as marketing results depend on multiple external factors beyond control.
9. LIABILITY LIMITATION
- The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising from the Client’s use of services.
- The Client agrees to hold the Service Provider harmless against any claims, losses, or damages resulting from the marketing campaigns.
10. DISPUTE RESOLUTION
- Any disputes shall first be resolved through mutual negotiation.
- If unresolved, disputes shall be settled through arbitration under applicable Indian laws.
11. GOVERNING LAW
This Agreement shall be governed and interpreted under the laws of India.
12. GENERAL TERMS
- This Agreement constitutes the entire agreement between both parties.
- Any amendments must be in writing and Agreed by both parties.
- No party may assign its obligations under this Agreement without prior consent.
